VTA is seeking the public’s input on ways to improve the organization’s governance structure and practices to help it better serve the community.
VTA Board of Directors Chair Teresa O’Neill identified Board governance as one primary area of the Board’s focus for 2019. An Ad Hoc Board Enhancement Committee was established to look at a broad range of governance practices to identify ways board engagement and effectiveness could be improved.
To help complete its mission, the committee commissioned an independent review to objectively evaluate how VTA’s current governance structure and practices help support the organization’s mission, goals and objectives. This effort, called the VTA Governance Assessment, is underway and being performed by the consulting firm RSM US LLP.
In addition, the VTA Governance Assessment will accomplish the recommendation of a 2018-2019 Santa Clara County Civil Grand Jury report that VTA commission a study of the governance structures of successful large city transportation agencies to see how VTA compares.
VTA collected input about how its governance structure and practices can be enhanced to better serve the public and local communities through several options:
- An online survey
- A 24/7 voicemail box
- A public meeting on Nov. 20
- A live, recorded Virtual Town Hall on Nov 21 (below)

The consultant presented the assessment's findings and recommendations at the Ad Hoc Board Enhancement Committee meeting on Dec 20, 2019.
The Ad Hoc Board Enhancement Committee will determine which changes to recommend to the Board of Directors at its meeting on Jan 17, 2020 at 9:00 a.m. in VTA Conference Room B-104.
The Governance and Audit Committee will consider the Ad Hoc Board Enhancement Committee's recommendations at its February 6, 2020 meeting.
